WSP is looking for a Corporate Paralegal. Reporting to the Associate General Counsel, you will provide support primarily with respect to corporate law and compliance matters, commercial law and mergers and acquisitions. You will be joining a sophisticated and results-oriented legal team that is part of a dynamic and challenging work environment.

 

RESPONSIBILITIES 

  • Managing, in collaboration with other members of the team, corporate reorganizations, dividends and other intercompany transactions across multiple jurisdictions, and preparing the underlying legal documents;
  • Preparing the corporate documents, including with local counsel when necessary, relating to mergers and acquisitions;
  • Corporate maintenance of a limited number of WSP Global Inc. and of certain other Canadian holding companies (less than ten);
  • Maintaining legal structure charts and master list of all corporate changes, including through regular communication with the regional teams, review of supporting materials and periodic audits;
  • Assisting in the preparation and filing of legal documents;
  • Reviewing minute books and making recommendations in the event of irregularities, both locally and abroad with the support of local counsel as needed;
  • Preparing corporate documents required to be delivered to clients, stock exchange, regulators and other stakeholders;
  • Assisting the team in the completion with regulatory files
  • Conducting corporate legal research;
  • Assisting in the preparation of various documents for the legal department;
  • Performing all related tasks.
 

QUALIFICATIONS

  • Diploma of College Studies (DEC) in paralegal technology;
  • 5 to 10 years of relevant experience as a corporate paralegal;
  • Bilingual (French and English), verbal and written;
  • Strong analytical skills;
  • Self starter; takes initiative;
  • Rigour, discipline and attention to detail;
  • Professional judgment and ability to establish a high degree of credibility;
  • Ability to multitask and prioritize effectively;
  • Proficient in all Microsoft Office suite (including Vizio);
  • A team player;
  • Keen on developing a coordination and oversight role on various corporate matters;
  • Ability to take the role of a project manager for certain long-term projects/initiatives.
